These Terms & Conditions (“Terms”) govern your access to and use of easyreachai.com (the “Website”) and the products and services offered by Easy Reach AI (“Easy Reach AI,” “we,” “us,” “our”). By accessing or using the Website or our Services, you agree to these Terms.

If you are using the Services on behalf of a company, you represent you have authority to bind that company, and “you” refers to the company.

1) Services We Provide

We provide software-enabled marketing, automation, and related services that may include CRM tools, messaging workflows, scheduling, AI-powered features, lead capture pages/funnels, reporting, integrations, templates, onboarding/support, and related functionality (collectively, the “Services”).

Some features may rely on third-party providers (for example, email delivery, telephony/SMS, analytics, or payment processors). Availability may vary by plan, region, and provider requirements.

2) Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Services.

3) Account Registration & Security

You agree to:

Provide accurate and complete information

Maintain the security of your login credentials

Be responsible for all activity under your account

Notify us promptly of any unauthorized access or security breach

We may suspend access if we reasonably believe an account has been compromised.

4) Acceptable Use

You may not use the Services to:

Violate any law or regulation

Send spam or unlawful marketing messages

Infringe intellectual property or privacy rights

Upload malware or attempt to disrupt or access systems without authorization

Scrape, harvest, or collect data without permission

Harass, abuse, or harm others

We may suspend or terminate accounts for violations or to protect the Services, users, or third parties.

5) Messaging, Email, Calls & Compliance (Important)

If you use the Services for SMS/MMS, calls, voicemail drops, email, or outreach, you are solely responsible for complying with all applicable laws, regulations, and industry rules, including (where applicable):

Consent requirements (TCPA and similar laws)

Opt-out requirements (e.g., replying STOP for SMS)

Carrier/platform policies and messaging program rules

Email compliance requirements (CAN-SPAM and similar rules)

Call recording and notification/consent requirements (where applicable)

You represent that you have obtained all necessary permissions, consents, and rights to contact your leads/customers and to use any contact lists you upload or integrate.

We are not responsible for blocked sending, carrier filtering, deliverability issues, account/provider suspensions, or compliance actions taken by carriers/platforms or regulators resulting from your campaigns, lists, content, or consent practices.

6) Plans, Fees, Billing & Taxes

A) Plans & Fees

Plan features and pricing are shown at checkout, in an order form, or in your account. We may change pricing or features prospectively with notice.

B) Subscription Billing & Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless canceled before renewal. You authorize us (and our payment processor) to charge your selected payment method on a recurring basis.

C) Failed Payments / Past Due

If a payment fails, we may retry your payment method and/or suspend access until payment is received. You remain responsible for all charges incurred.

D) Taxes

You are responsible for applicable taxes, duties, or governmental assessments unless we state otherwise.

E) Payment Processing

Payments are processed by third-party payment processors (e.g., Stripe). Their terms and policies also apply.

7) Cancellation, Downgrades & Refunds

A) Cancellation

You may cancel by using your billing portal or by emailing [email protected].

Unless stated otherwise in writing:

Cancellation takes effect at the end of the current billing period

You will retain access until the period ends

We do not provide prorated refunds for partial periods

B) Refund Policy

All fees are non-refundable, except where required by law or explicitly stated in a written agreement signed by Easy Reach AI.

C) Chargebacks

Unauthorized or improper chargebacks may result in immediate suspension/termination and may limit access to the Services until resolved.

8) Onboarding, Setup & Professional Services (If Applicable)

If your plan includes onboarding, setup, or implementation services, timelines may depend on your responsiveness, access to accounts (e.g., domain, phone, ads), third-party approvals, and completion of required verification steps (e.g., SMS/A2P registration).

Unless otherwise agreed in writing, any professional services are provided on a best-effort basis and do not guarantee a specific business outcome.

9) Service Changes, Availability & Maintenance

We may update, modify, or discontinue parts of the Services. We’ll try to provide reasonable notice for material changes when practical.

We do not guarantee uninterrupted availability. Maintenance, provider outages, carrier filtering, and platform changes can impact service.

10) Intellectual Property

We (and our licensors) own all rights, title, and interest in the Services, software, templates, workflows, content we provide, and related intellectual property.

Subject to these Terms and your subscription, you receive a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the subscription term.

If you provide feedback or suggestions, you grant us permission to use them without restriction or compensation.

11) Customer Content & Data

You retain ownership of the content and data you upload, submit, or make available through the Services (“Customer Content”).

You grant us a limited license to host, process, transmit, and display Customer Content solely as needed to provide, maintain, and improve the Services and support you.

You represent that:

You own or have the rights to use Customer Content

Customer Content does not violate laws or third-party rights

12) Confidentiality

Each party may receive non-public, confidential information from the other. Each party agrees to:

Use confidential information only to perform obligations under these Terms

Protect it using reasonable safeguards

Not disclose it to third parties except as needed to provide/receive the Services or as required by law

13) Disclaimers

The Website and Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific outcomes, including leads, revenue, conversion rates, deliverability, or advertising performance.

14) Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, or lost data).

Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us in the 3 months prior to the event giving rise to the claim.

15) Indemnification

You agree to indemnify, defend, and hold harmless Easy Reach AI from and against claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Services

Your campaigns, outreach, or contact lists

Your Customer Content

Your violation of laws, regulations, or third-party rights

Your failure to obtain required consents/permissions

16) Termination

We may suspend or terminate access if:

You violate these Terms

Your use poses a security risk or could harm the Services or others

We are required to do so by law or providers

Upon termination, your right to use the Services stops immediately. Sections that by their nature should survive will survive, including: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any payment obligations.

17) SMS Messaging

By opting in to receive SMS messages from Easy Reach AI, you consent to receive texts related to demo scheduling, onboarding, support, and optional promotional updates. Message and data rates may apply. You may opt out at any time by replying STOP. For help, reply HELP or contact [email protected].

Carrier liability: carriers are not liable for delayed or undelivered messages.

Age restriction: you must be at least 18 years old.

18) Governing Law & Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Venue for disputes will be Maricopa County, Arizona, unless otherwise required by law.

19) Changes to These Terms

We may update these Terms from time to time. Continued use after changes become effective means you accept the updated Terms. The “Last Updated” date will reflect changes.
